Annual General Meeting Dec 12, 2022

The Panmure Island Lighthouse Association invites you to attend their Annual General Meeting for the fiscal year, April 1, 2021, to March 31, 2022. 

The meeting is scheduled for MONDAY, DECEMBER 12, 2022, in the UPPER board room of the Rural Action Centre, 540 Main St., Montague. Start time: 6:30 pm. Masks are recommended.   

Light refreshments will be served. If you are able to attend, we would appreciate an RSVP to Email  panmureislandlighthouse@outlook.com. 
We look forward to having you join us and hearing of our many successes from our previous season. 
On the Agenda, we have included two proposed amendments to our by-laws and will put those forward for our members to vote on: 
A motion is made that the by-laws be amended to add the following after paragraph 6.19: 
Remuneration of Directors 
6.20 Directors may be paid remuneration and reimbursed for expenses incurred in connection with services they provide to the Panmure Island Lighthouse Association in their capacity other than as Directors, provided that the amount of any such remuneration of reimbursement is: 
            -- considered reasonable by the Board 
            -- approved by the Board for payment by resolution passed before such payment is made
            -- not in conflict with the Conflict of Interest provision (6.21) in these By-laws. 

Conflict of Interest 
6.21 A Director shall make full disclosure of any potential conflicts and abstain from all discussions and decisions where there is potential conflict of interest. 
Deadline for the AGM after the Fiscal Year End: 
A motion was made that the by-laws be amended to change the period from the end of our fiscal year to the AGM, which is stated as 3 months to 9 months.   
Section 10.2.3 of the by-laws states that: 
The Annual General Meeting (AGM) of the Association which shall be held within three (3) months after the end of the fiscal year of the Association. 
The proposed amendment would now read: 
The Annual General Meeting (AGM) of the Association which shall be held within nine (9) months after the end of the fiscal year of the Association.
